Terms of Service

These Terms of Service form a binding agreement between you and MachineFi Labs. By accessing our websites, hosted models, APIs, playgrounds, documentation, or related services, you agree to these Terms and our Privacy Policy.

You must be legally able to enter this agreement. If you use the Services for an organization, you represent that you have authority to bind that organization.

You are responsible for accurate account information, all activity under your account, and protecting your credentials and API keys. Do not share keys publicly or embed them in client-side software. Notify us promptly if you believe a credential has been compromised.

Our models return probabilistic judgments based on the state, questions, and candidate actions supplied by the caller. Outputs may be incomplete, inaccurate, or unsuitable for a particular purpose. You decide whether and how to act on an output and remain responsible for safeguards, testing, human review, and compliance in your application.

The Services are not a substitute for professional, medical, legal, financial, safety, or engineering advice. Do not rely on an output as the sole basis for decisions that could materially affect a person's rights, safety, health, finances, or access to essential services.

Paid APIs may use prepaid credits or provider invoicing. Prices and minimum purchases are shown before purchase or in the applicable commercial agreement. Usage is measured by our service records. Unless required by law or expressly stated otherwise, purchases are non-refundable and unused credits have no cash value.

We may change prices prospectively. You are responsible for applicable taxes, duties, and charges other than taxes on our net income.

You retain your rights in content you submit. You grant us the limited rights needed to process that content, provide the requested output, secure and operate the Services, and comply with law. You represent that you have the rights and permissions needed to submit it.

You may not use the Services unlawfully; to harm, exploit, surveil, or deceive people; to infringe rights; to distribute malware; to bypass access, billing, safety, or rate limits; to disrupt the Services; or to probe for non-public model weights, system prompts, credentials, or infrastructure. You may not resell access except under a written agreement with us.

We and our licensors retain all rights in the Services, models, software, documentation, branding, and related technology. These Terms grant only a limited, revocable, non-exclusive right to use the Services as provided. No model weights, training materials, or implementation details are licensed unless we expressly publish them under a separate license.

Our Privacy Policy explains how we handle personal information. For hosted model APIs, request content is processed to produce a response and is not used to train our models. Our billing ledger does not store raw request content. We may retain account, usage, security, billing, error, and request metadata, plus short-lived response data needed for reliable retry and abuse prevention.

If you reach our Services through a distributor or routing provider, that provider may separately process your request under its own terms and privacy policy.

The Services may be preview, beta, capacity-limited, modified, suspended, or discontinued. We do not promise uninterrupted availability or that a model, feature, price, latency, or result will remain unchanged. We may impose reasonable limits to protect users, infrastructure, and service reliability.

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” MachineFi Labs disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation.

To the maximum extent permitted by law, MachineFi Labs and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption. Our aggregate liability arising from the Services will not exceed the greater of US$100 or the amount you paid us for the Services during the twelve months before the event giving rise to the claim.

You may stop using the Services at any time. We may suspend or terminate access when we reasonably believe these Terms were breached, use creates risk or legal exposure, payment is overdue, or suspension is needed to protect the Services. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the British Virgin Islands, without regard to conflict-of-law principles. Courts located in the British Virgin Islands will have exclusive jurisdiction, except where applicable law gives you a non-waivable right to bring a claim elsewhere.
